Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you and Shadow governing your access to and use of the Shadow platform and related services (the “Service”).
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
1. Platform Role & Disclaimer
Shadow operates solely as a technology platform that facilitates connections between users. Shadow does not provide services, does not employ users, and does not control or guarantee the conduct, performance, or outcomes of user interactions.
Any agreement, transaction, or arrangement formed through the Service is strictly between the participating users. Shadow is not a party to such agreements.
2. Accounts & Eligibility
You must be at least 18 years of age to access or use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account. Shadow may suspend or terminate accounts at its discretion.
3. User Conduct
You agree not to engage in unlawful, harmful, misleading, abusive, or exploitative conduct, including misuse of personal or location data.
4. Prohibited Services
You are strictly prohibited from requesting or providing services involving:
- Regulated Substances: Illegal drugs, drug paraphernalia, tobacco, e-cigarettes, and unlicensed pharmaceuticals/nutraceuticals.
- Financial & AML Risks: Unlicensed money lending, currency exchange, cryptocurrency trading, "cash-out" services, or multi-level marketing (MLM).
- Gambling & Risk: Betting, lottery tickets, games of chance, or psychic/fortune-telling services.
- Intellectual Property & Counterfeits: Sale, distribution, or facilitation of counterfeit goods, pirated software, unauthorized media, copyright circumvention, or unauthorized use of third-party trademarks.
- Restricted Goods & Sanctions: Goods originating from sanctioned jurisdictions, endangered species products, and archaeological or cultural relics.
- Professional Services: Unlicensed legal or medical advice.
- Social & Political: Services related to political campaigning or social activism that may violate local public order regulations.
5. Content, Moderation & Compliance
Shadow may, but is not obligated to, monitor or moderate content. We strictly enforce our anti-counterfeit, intellectual property, and sanctions compliance policies. We will promptly remove listings involving restricted goods or sanctioned origins upon detection or verified reporting. Repeat offenders are subject to immediate and permanent account suspension. Enforcement actions may occur automatically, without notice, and without human review.
6. Automated Systems
The Service relies on automated and AI-based systems for matching, ranking, moderation, and fraud prevention. Results may be inaccurate or incomplete, and Shadow disclaims liability for automated decisions.
7. Payments, Holding Period & Disputes
Shadow acts as the Merchant of Record. Payments are limited to local, domestic transactions within our supported jurisdictions. Cross-border payments are prohibited. Funds are subject to a mandatory 7-day holding period for dispute resolution prior to Provider payout. Shadow centrally manages all refunds and chargebacks and reserves the right to recover disputed funds.
8. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind.
9. Limitation of Liability
To the maximum extent permitted by law, Shadow shall not be liable for indirect, incidental, consequential, or punitive damages arising from use of the Service or user interactions.
10. Indemnification
You agree to indemnify and hold harmless Shadow from claims arising from your use of the Service or violation of these Terms.
11. Termination
Shadow may suspend or terminate access at any time, with or without notice.
12. Governing Law
These Terms are governed by the laws of Malaysia. Courts of Malaysia have exclusive jurisdiction.
13. Changes
Continued use of the Service after changes take effect constitutes acceptance.
